These Terms and Conditions ("Agreement") govern the rental, booking, and use of Studio‑N Theatre ("Theatre", "Studio‑N", "Venue", "we", "us") located in Toronto, Ontario. By booking, accessing, or using the Theatre, the renter, organization, performers, crew members, volunteers, audience members, and any associated persons (collectively, "Client") agree to be legally bound by this Agreement.

1. Booking & Eligibility

1.1 The person signing the booking agreement must be at least 18 years old and is personally responsible for all obligations, damages, and conduct of their organization, performers, guests, and contractors.

1.2 Studio‑N reserves the absolute right to refuse or cancel any booking at its sole discretion, including but not limited to safety concerns, reputational concerns, legal risks, or conflict with venue values.

1.3 The booking is not confirmed until a written confirmation and required payment are received.

1.4 The Client may not sub‑rent, transfer, or assign the booking without written permission from Studio‑N.

2. Rental Time & Access

2.1 Rental time includes load‑in, rehearsals, performances, intermissions, audience entry, and load‑out. Overtime will be billed in 30‑minute increments at a premium rate determined by Studio‑N.

2.2 Access to the Theatre is limited strictly to booked hours. Early arrival or late departure without approval may result in additional charges or termination of use.

2.3 Studio‑N may enter the premises at any time for safety, operational, or compliance purposes.

3. Payments, Deposits & Fees

3.1 A non‑refundable deposit is required to secure the booking.

3.2 Full payment must be completed before the first day of use unless otherwise agreed in writing.

3.3 All additional charges (damages, overtime, cleaning, technical assistance, staffing, fines, or penalties) will be invoiced and must be paid within 7 days.

3.4 Failure to pay may result in cancellation of current or future bookings and legal collection action.

4. Cancellation & Rescheduling

4.1 Deposits: A 25% non-refundable deposit is required at the time of booking to secure the studio. This deposit is held to cover administrative costs and the loss of potential business for the reserved time.

4.2 Cancellation Policy: If the Client cancels the booking less than 7 days before the scheduled start time, the 25% deposit remains non-refundable. For cancellations made with more than 7 days' notice, the deposit remains non-refundable.

4.3 Studio‑N is not responsible for losses resulting from cancelled ticket sales, advertising, travel costs, or production expenses.

4.4 Studio‑N may cancel bookings due to safety concerns, emergencies, building issues, or legal requirements. Liability is limited strictly to refund of unused rental fees only.

5. Use of Space & Conduct

5.1 The Theatre must be used only for the approved purpose stated in the booking.

5.2 The Client is responsible for all persons present and their behavior.

5.3 The following are strictly prohibited unless approved in writing:

• Open flame, pyrotechnics, fog/haze, smoke effects

• Alcohol sales or service

• Food preparation

• Confetti, glitter, liquids on stage, body paint, or staining materials

• Standing on chairs or unsafe audience participation

• Overcapacity attendance

5.4 Studio‑N reserves the right to immediately stop any activity deemed unsafe or disruptive without refund.

5.5 Studio-N acts solely as a venue rental provider. Studio-N does not produce, organize, supervise, endorse, or assume responsibility for any performances, rehearsals, activities, content, statements, artistic material, or events taking place within the Theatre. All performances and activities are conducted independently by the Client, who bears full legal and operational responsibility for what occurs during the rental period.

6. Technical Equipment & Staff

6.1 All technical equipment must be operated only by approved personnel.

6.2 The Client is financially responsible for any damage to lighting, sound, staging, seating, dressing rooms, or building systems regardless of fault.

6.3 Studio‑N is not responsible for technical incompatibility with Client equipment or media.

7. Insurance & Liability

7.1 The Client is fully responsible for all injuries, losses, or damages occurring during the booking period, including rehearsals and load‑in/out.

7.2 The Client agrees to indemnify and hold harmless Studio‑N, its owners, staff, volunteers, contractors, and affiliates from any claims, lawsuits, injuries, or losses including third‑party claims.

7.3 Studio‑N is not liable for:

• Personal injury

• Property damage

• Lost or stolen items

• Ticket refunds

• Performer disputes

• Audience dissatisfaction

7.4 The Client is strongly advised to obtain general liability insurance and may be required to provide proof upon request.

8. Damage & Cleaning

8.1 The Client must return the Theatre in the same condition it was received.

8.2 Cleaning fees and repair costs will be charged if additional cleaning, repainting, or maintenance is required.

8.3 Tape, nails, screws, adhesives, or set construction that alters the building is prohibited unless approved.

9. Audience & Ticketing

9.1 The Client is solely responsible for ticket sales, refunds, taxes, and audience management.

9.2 Studio‑N is not responsible for low attendance or event cancellation losses.

9.3 The Client must comply with all capacity and safety regulations.

10. Recording, Content & Intellectual Property

10.1 The Client is responsible for obtaining all performance rights, music licenses, and copyright permissions.

10.2 Studio‑N bears no responsibility for copyright infringement by the Client.

10.3 Studio‑N may photograph or record events for documentation and promotional purposes unless the Client requests otherwise in writing prior to the event.

11. Force Majeure

Studio‑N is not liable for failure to perform due to circumstances beyond its control including but not limited to weather, power outage, government orders, public health restrictions, or building emergencies. Fees already paid are non‑refundable but may be credited at Studio‑N discretion.

12. Safety & Compliance

The Client must comply with all Ontario laws, fire codes, and public safety regulations. Studio‑N staff decisions regarding safety are final.

13. Termination of Event

Studio‑N may immediately terminate the event without refund if:

• Rules are violated

• Safety is compromised

• Payment obligations are unmet

• Illegal activity occurs

14. Limitation of Liability

To the maximum extent permitted by Ontario law, Studio‑N’s total liability shall never exceed the amount paid for the rental period.

15. Governing Law

This Agreement is governed by the laws of the Province of Ontario and the laws of Canada applicable therein. Any disputes shall be resolved exclusively in Toronto, Ontario courts.

16. Acceptance

By booking or using the Theatre, the Client acknowledges they have read, understood, and agreed to these Terms and Conditions.
